Predominantly for the purposes of securing international trade transactions, we are able to arrange, on our client’s behalf, financial instruments (i.e. BGs, SBLCs, DLCs, etc.). We are also able to assist in the procurement of certain commodities.

We have experience in assisting private companies navigate through the maze of regulatory, logistic and financial issues surrounding going public transactions, whether by means of Initial Public Offering, Reverse Take-Over, Dividend Distribution, Take-Over Bid Circular, etc.

Our primary experience in this area is in Canada and the United States, however, we have assisted companies in Europe and Australia.

Within our group we have securities counsel, former senior security brokers, current and former directors and senior officers of both large and small capital companies. We also have a strong and long standing relationship with a number of active brokers and brokerage houses, shell providers/owners, promoters, accountants, lawyers, financial analysts, public relation experts, etc.

A public offering must address a number of issues, including the viability of the company/business enterprise itself, the ability to obtain sufficient and appropriate financing - balancing the interests of the initial stakeholders and the investors in a highly regulated framework, assisting the client stakeholders and/or investors involved in the company understand at least the basics of the public marketplace and the needs of proper structuring to achieve their liquidity interests. Finally, we are able, post public offering and on a continuing basis, to provide access to traders, provide regulatory compliance advice and work with them to strategically effect liquidity while maintaining appropriate shareholdings for our clients. We identify and effect liquidity events.

We are currently involved in multiple public company projects, assisting them with transactional structuring and the procurement of capital. Several of the projects are involved in the Oil and Gas and Alternative Energy sectors in North America.
